As a buyer, it is in your best interest to become independent of the seller as quickly as possible, but not too soon, so that the transition of the business does not go as smoothly as possible. Often, this independence involves savings and the seller will want to structure the TSA in such a way that it becomes inefficient and/or uncomfortable for you to hang on to the seller longer than necessary. This Agreement, including its recitals and schedules, together with IDSH`s non-compete clause, the Transitional Manufacturing Agreement and the After-Sales Service Agreement, constitute the entire agreement and understanding of the parties and the guarantor with respect to the transactions described in this Agreement, and no warranties or guarantees have been provided under this Agreement, with the exception of those expressly set out therein.
